Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and CoreLinks Inc. ("CoreLinks," "we," "us," or "our") governing your access to and use of our infrastructure networking services, website, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service. By using the Service, you represent and warrant that you meet these requirements.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your account information
  • Maintain the security of your account credentials
  • Notify us immediately of unauthorized access
  • Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or provide false information.

4. Service Plans and Pricing

CoreLinks offers multiple service plans with different features and pricing. Current plans and pricing are available at corelinks.info/pricing.

4.1 Fees and Payment

  • Fees are billed monthly or annually based on your selected plan
  • All fees are non-refundable unless otherwise specified
  • You authorize us to charge your payment method on file
  • Overdue payments may result in service suspension
  • We may change pricing with 30 days' notice

4.2 Usage-Based Charges

Certain features incur usage-based charges (storage, bandwidth, compute resources). You will be billed for usage exceeding your plan's included amounts at the rates specified in your account dashboard.

5. Acceptable Use Policy

You agree to use the Service in compliance with all applicable laws and regulations. You will NOT:

  • Violate any laws, regulations, or third-party rights
  • Transmit malware, viruses, or malicious code
  • Launch denial-of-service attacks or similar attacks
  • Attempt to gain unauthorized access to systems or networks
  • Use the Service for phishing, spam, or fraudulent activities
  • Host, distribute, or promote illegal content
  • Infringe intellectual property rights
  • Interfere with other customers' use of the Service
  • Resell or sublicense the Service without authorization
  • Reverse engineer or attempt to extract source code
  • Use the Service to mine cryptocurrency without written consent

Violation of this policy may result in immediate suspension or termination of your account.

6. Customer Data

6.1 Your Data Rights

You retain all rights, title, and interest in your data ("Customer Data"). We do not claim ownership of Customer Data.

6.2 License to CoreLinks

You grant CoreLinks a limited license to host, store, process, and transmit Customer Data solely to provide the Service.

6.3 Data Responsibility

  • You are responsible for the legality and accuracy of Customer Data
  • You must have rights to upload and use Customer Data
  • You are responsible for maintaining backups
  • We provide infrastructure-level backups but recommend maintaining your own

6.4 Data Deletion

Upon account termination, we will delete Customer Data within 90 days unless retention is required by law or you request an extension.

7. Service Level Agreement (SLA)

CoreLinks provides the following uptime guarantees:

  • Foundation Core: 99.9% monthly uptime
  • Structure Core: 99.95% monthly uptime
  • Enterprise Core: 99.99% monthly uptime

If we fail to meet the SLA, you may be eligible for service credits as outlined in our SLA policy. SLA credits are your sole remedy for service availability issues.

7.1 Exclusions

The SLA does not cover downtime caused by:

  • Scheduled maintenance (with 48-hour notice)
  • Customer's actions or configurations
  • Third-party services or networks
  • Force majeure events
  • DDoS attacks (for non-Enterprise plans)

8. Intellectual Property

8.1 CoreLinks Property

The Service, including software, infrastructure, designs, trademarks, and documentation, is owned by CoreLinks and protected by intellectual property laws.

8.2 License to Use

We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

8.3 Restrictions

You may not copy, modify, distribute, sell, or create derivative works from the Service without our written permission.

9. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the course of the business relationship. This obligation survives termination of these Terms.

10. Warranties and Disclaimers

10.1 Service Warranty

We warrant that the Service will perform substantially as described in our documentation.

10.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • CoreLinks' total liability will not exceed the amounts paid by you in the 12 months preceding the claim
  • We are not liable for indirect, incidental, consequential, special, or punitive damages
  • We are not liable for data loss (maintain your own backups)
  • We are not liable for third-party actions or services

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless CoreLinks from claims, damages, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your Customer Data
  • Your violation of laws or third-party rights

13. Term and Termination

13.1 Term

These Terms remain in effect while you use the Service.

13.2 Termination by You

You may terminate your account at any time through your account dashboard. Termination takes effect at the end of your current billing period.

13.3 Termination by CoreLinks

We may suspend or terminate your account immediately if you:

  • Violate these Terms
  • Fail to pay fees when due
  • Engage in fraudulent or illegal activities
  • Pose a security risk to the Service

13.4 Effect of Termination

Upon termination:

  • Your access to the Service will cease
  • Unpaid fees become immediately due
  • You have 30 days to retrieve Customer Data
  • We will delete Customer Data after 90 days

14. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes by:

  • Posting updated Terms on our website
  • Sending email notification to your account email
  • Displaying a notice in the Service

Continued use of the Service after changes constitutes acceptance. If you do not agree to modified Terms, you must terminate your account.

15. Governing Law and Disputes

15.1 Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

15.2 Dispute Resolution

Any disputes will be resolved through binding arbitration in San Francisco, California, in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in court.

15.3 Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class actions or collective arbitrations.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy and any service-specific terms, constitute the entire agreement between you and CoreLinks.

16.2 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

16.3 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

16.4 Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

16.5 Force Majeure

We are not liable for failure to perform due to circumstances beyond our reasonable control (natural disasters, war, terrorism, pandemics, etc.).
